Request for Quotation: Advisory Services for Divestment of “Super Beton” LLC

We are seeking proposals from reputable advisory firms to support the divestment process of “Super Beton” LLC (I/N 202357582) through a corporate transaction, a concrete production business operating in Georgia.

The company is considered a non-core asset for SOCAR Group and has operated at a loss during recent years. Accordingly, SOCAR intends to conduct a practical and cost-efficient disposal process focused on attracting potential investors and executing a competitive sale process.

Description of the Asset

• Brief Description of “Super Beton” LLC
• Jurisdiction: Georgia;
• Business activity: Production and sale of ready-mix concrete and related construction materials;
• Financial status: The company has operated at a loss during the last three financial years and demonstrates limited commercial sustainability under the current operating model.

I. Scope of Work

The selected advisor shall provide end-to-end transaction support services in connection with the divestment of “Super Beton” LLC. The scope of work shall include the following workstreams:

1. Data Preparation and Structuring

• Collect, review, and organize available company information and operational data;
• Preparation of the teaser and information memorandum for potential investors.

2. Investor Outreach and Process Management

• Conduct a competitive tender process;
• Identify, source, and engage potential bidders for the asset;
• Coordinate communication with interested parties;
• Manage the bidding process and indicative/non-binding offer collection;
• Assist management with the Q&A process.

3. Transaction Execution Support

• Assist SOCAR during negotiations with shortlisted bidders;
• Support collection and evaluation of binding offers.

3.1 Supplementary services may be requested as needed; please provide a separate quotation for these below items, distinct from the base price.

• Support transaction execution and closing process;
• Coordinate with external legal advisors 

II. Indicative Timeline:

The advisor is expected to execute the divestment process on an accelerated basis.

An indicative timeline is expected as follows:

• Project kick-off: within 1 week after advisor selection;
• Preparation of investor materials: within 2 weeks from kick-off;
• Investor outreach and launch of tender process: immediately following preparation phase;
• Collection of indicative offers: targeted within 6-8 weeks from kick-off;
• Negotiation and transaction support: ongoing until transaction signing/closing.

The advisor is expected to use best efforts to complete the competitive sale process within the shortest practical timeframe.

III. Proposal requirements:

Interested firms should submit:

• Company profile and relevant past transaction experience;
• Brief description of proposed approach;
• Ability to identify and attract potential bidders;
• Proposed team composition and their background;
• Estimated timeline;
• Commercial proposal with a clear fee structure.
